1. Agreement to Terms

By accessing or using the services provided by Mguard.ai ("Mguard", "we", "us", or "our"), you ("Customer" or "you") agree to be bound by these Terms of Service. If you are accepting on behalf of a legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

Mguard.ai provides an artificial intelligence-driven platform designed to analyze mortgage commitments and related financial documents to identify potential structural risks (e.g., IRD penalties, Bona Fide Sale clauses). Our services are tools for information and educational purposes only.

3. AI-Generated Content & Professional Advice Disclaimer(Key Protective Provisions)

NOT FINANCIAL ADVICE:

Mguard.ai is a software tool, not a licensed mortgage brokerage, law firm, or financial advisory. Outputs do not constitute financial, legal, or mortgage advice.

NO GUARANTEE OF ACCURACY:

Due to the nature of artificial intelligence, outputs may contain errors, misstatements, or inaccuracies. Mguard does not guarantee the 100% accuracy of any clause analysis or risk score.

USER RESPONSIBILITY:

You are solely responsible for verifying any AI-generated outputs with a licensed mortgage professional or legal counsel before making any financial decisions or communicating with lenders.

4. Use Restrictions

You shall not:

  • Reverse engineer, decompile, or attempt to discover the source code of the Mguard.ai platform.
  • Use the Services to build a competitive product or service.
  • Upload documents for which you do not have legal right or consent.

5. Proprietary Rights and Licenses

Mguard Property:

We retain all rights, title, and interest in the platform, algorithms, and branding.

Customer Data:

You retain ownership of any data you upload. By uploading, you grant us a limited license to process this data solely to provide the analysis.

Output Ownership:

Subject to full payment of fees, Mguard assigns to you the rights to the specific AI-generated reports created for your account.

6. Payment and Refunds

Fees are based on the subscription or per-report plan purchased. Due to the immediate delivery of digital AI analysis, all fees are non-refundable once the analysis process has commenced.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MGUARD.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO FINANCIAL LOSSES OR INCORRECT MORTGAGE DECISIONS ARISING FROM THE USE OF OUR AI OUTPUTS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE PRECEDING 12 MONTHS.

8. Governing Law

These Terms shall be governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Any disputes shall be settled in the courts of Toronto, Ontario.
